Terms of Service
1. Agreement to Terms
By accessing or using the services provided by Rayvo ("we," "us," or "Rayvo"), you agree to be bound by these Terms of Service. If you do not agree, do not use our services.
2. Description of Service
Rayvo provides an AI-powered voice receptionist service designed for small business contractors. The service includes inbound call answering, customer qualification, appointment scheduling, emergency call routing, and call transcript delivery, customized to each client's business.
3. Account and Eligibility
You must be at least 18 years old and authorized to enter into a contract on behalf of your business to use our services. You agree to provide accurate, current information during onboarding and to keep that information up to date.
4. Payment Terms
Setup fees are billed and due at the time of contract signing. Monthly service fees are billed on a recurring basis beginning on the agent go-live date. All fees are in U.S. dollars and are non-refundable except as expressly stated in our Refund Policy.
Failure to pay any invoice when due may result in service suspension after 7 days and termination after 30 days.
5. Service Level
We will use commercially reasonable efforts to deliver the service. The voice agent runs on third-party platforms (including Synthflow), and uptime is subject to those platforms' availability. We do not guarantee uninterrupted service and are not liable for outages caused by third-party providers.
We aim to have your agent live within 7 business days of your completed onboarding form.
6. Acceptable Use
You may not use the service to:
- Violate any applicable law or regulation
- Engage in fraudulent or deceptive practices
- Make outbound calls (the service is inbound-only)
- Misrepresent the AI agent as a human in regulated contexts
- Record calls without compliance with applicable two-party consent laws in your jurisdiction
7. Intellectual Property
Rayvo retains all rights to the underlying agent technology, prompt structure, and service methodology. You retain all rights to your business data, customer data, and the specific configuration created for your business.
8. Data and Privacy
Our handling of personal information is described in our Privacy Policy. By using the service, you authorize us to process call data, transcripts, and customer information as necessary to deliver the service.
You are responsible for informing your customers that calls may be recorded and transcribed, and for ensuring compliance with all applicable recording-consent laws in your jurisdiction.
9. Cancellation and Refunds
Founding clients commit to a 12-month service term at the founding rate. After 12 months, service continues month-to-month until canceled by either party with 30 days' written notice.
Refunds are governed by our Refund Policy: 30-day money-back guarantee on the setup fee if the agent is not live within 30 days of contract date. Monthly fees are non-refundable once services have been rendered for that month.
10. Limitation of Liability
To the maximum extent permitted by law, Rayvo's total liability for any claim arising out of or related to the service is limited to the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits or lost business opportunities, even if advised of the possibility of such damages.
11. Indemnification
You agree to indemnify and hold Rayvo harmless from any claims, damages, or expenses arising from your use of the service, your violation of these Terms, or your violation of any third party's rights.
12. Termination
We may suspend or terminate your access to the service at any time for material breach of these Terms, non-payment, or violation of the Acceptable Use policy. Upon termination, you remain responsible for any fees owed through the termination date.
13. Modifications to Terms
We may update these Terms from time to time. Material changes will be communicated via email at least 30 days before taking effect. Continued use of the service after changes take effect constitutes acceptance.
14. Governing Law
These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law principles. Any disputes will be resolved in the state or federal courts located in Maricopa County, Arizona.
